Terms of Service

By accessing our website, creating an account, downloading the Software, or clicking "I agree" where presented, you enter a binding agreement with Nexoxa ("NexoxaBridge", "we", "us", "our") for access to our AI developer software and optional SaaS subscriptions.

If you use the Software on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, "you" means the entity.

These Terms work together with our Privacy Policy, which describes how we process personal data under the GDPR and other privacy laws. If there is a conflict between these Terms and a signed Enterprise order form, the order form prevails for that customer.

Subject to these Terms, your subscription plan, and a valid NexoxaBridge account, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for internal development, testing, and operations on systems you own or are authorized to access.

Use of the Software requires an active account at every tier (Free, Pro, and Enterprise). You must register and sign in to open the studio; there is no login-free or anonymous use.

You may not, unless expressly permitted by us in writing:

• Redistribute, sublicense, rent, lease, or sell the Software
• Reverse engineer, decompile, or circumvent license or security mechanisms except where applicable law explicitly allows
• Remove proprietary notices or misrepresent authorship
• Use the Software to access systems without authorization or in violation of law
• Use the Software to build a competing product by extracting our source or UX wholesale

Open-source components included in the Software remain governed by their respective licenses. Source code for the studio may be available under separate repository terms where published.

After you sign in, local connection and workspace data stays on your device by default. You are responsible for:

• Securing your computer (OS updates, disk encryption, strong login password)
• Backing up connection vault exports if you choose to create them
• Rotating credentials if your device is lost, stolen, or compromised
• Reviewing all SQL, migrations, and Copilot suggestions before applying to production
• Compliance with laws applicable to databases and servers you administer (including GDPR when you act as controller of your customers' data)

NexoxaBridge is a tool. When you connect to a database containing personal data of third parties, you are typically the data controller for that data; NexoxaBridge is not processing it on your behalf unless you explicitly enable a cloud feature that uploads schema or graph metadata.

An NexoxaBridge account is required to use the Software and the Platform at every tier — Free, Pro, and Enterprise. You must register at asteron.nexoxa.com and sign in to open the studio, access your dashboard, save connections in the vault, and use Copilot or other tier features. There is no anonymous or login-free mode.

You must provide accurate registration information and keep your password confidential. You are responsible for all activity under your account, including actions by team members you authorize.

You agree to:

• Use a strong, unique password for your NexoxaBridge account
• Notify us promptly at [email protected] if you suspect unauthorized access to your Platform account
• Not share admin credentials for asteron.nexoxa.com with unauthorized persons

When NexoxaBridge is the Data Controller

For Account data (email, name, billing, sessions), NexoxaBridge is the data controller as described in our Privacy Policy. We process that data to provide the Platform, comply with law, and support you.

When you are the Data Controller

For personal data inside databases, servers, or files you access through the Software, you are typically the controller (or processor on behalf of your client). NexoxaBridge does not access that data except:

• Transiently in memory on your device while you use the Software locally, or
• When you explicitly enable Pro/Enterprise cloud features that transmit schema or graph metadata to our Platform

Enterprise & DPA

Enterprise customers who require a Data Processing Agreement (DPA) for Platform processing may contact [email protected]. Standard Terms incorporate GDPR Article 28 obligations where NexoxaBridge acts as processor for customer content uploaded to optional cloud features.

Your GDPR obligations as a user

If you use the Software to manage EU/UK personal data, you must have a lawful basis, honor data subject requests, and implement appropriate security — independent of these Terms. NexoxaBridge's local-first design supports minimization by keeping credentials and queries off our servers.

You agree not to use the Software or Platform to:

• Violate any applicable law, regulation, or third-party rights
• Probe, scan, or attack systems you do not own or lack written permission to test
• Transmit malware, spam, or abusive traffic through connected servers
• Interfere with or disrupt the Platform (DDoS, credential stuffing, scraping accounts)
• Impersonate NexoxaBridge staff or misrepresent affiliation
• Circumvent plan limits, license checks, or access controls

We may suspend or terminate accounts that violate acceptable use, pose security risk, or fail to pay applicable fees, with notice where reasonable except for urgent abuse cases.

Pro is billed monthly at $9 (or the INR equivalent in India) until you cancel. Razorpay charges your payment method each month on renewal. You authorize those charges until you cancel from your dashboard or contact support.

• Cancel anytime from your account dashboard — future charges stop; access continues until period end
• Razorpay may show a far-future end date at checkout; that is not a commitment to pay until then
• Price changes will be posted on the pricing page with reasonable advance notice
• Continued use after a price change constitutes acceptance of the new price
• Taxes may apply based on your location

EU/UK consumers: Where mandatory consumer law grants you a right of withdrawal for distance contracts, we honor applicable statutory periods. Digital services may begin immediately upon purchase where you expressly consent to early performance and acknowledge loss of withdrawal right where permitted by law.

Refund requests: contact [email protected]. See our Refund Policy for eligibility and processing times. Enterprise contracts may define separate refund terms in a signed order form.

Copilot features may send prompts and context (schema snippets, query text you include, error messages) to AI providers such as OpenRouter or models you configure with your own API key.

• Pro & Enterprise (BYOK): Copilot requires a paid plan. Your OpenRouter API key is stored locally in the encrypted vault; requests go from your machine to the provider you choose
• Enterprise hosted Copilot (optional): Requests may route through our Platform to configured AI providers under our subprocessors list in the Privacy Policy
• Free tier: Copilot is not included — SQL lab, data editor, and local connections remain available

The Software can execute SQL, schema migrations, file transfers, SSH commands, and mail operations. You are solely responsible for:

• Backups and disaster recovery
• Testing on staging before production
• Access control inside your organization
• Compliance with database vendor terms and data protection law

NexoxaBridge does not monitor your production environments and cannot undo destructive operations you authorize through the Software.

We retain all rights, title, and interest in the Software, Platform, branding, documentation, and marketing content. These Terms do not grant you ownership — only the limited license in Section 3.

Feedback you provide may be used by us without restriction or compensation to improve the product. Do not submit confidential information as feedback unless we agree in writing.

THE SOFTWARE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES — IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXOXABRIDGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA (INCLUDING DATABASE DATA YOU MANAGE), GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SOFTWARE OR PLATFORM — EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING IN A TWELVE (12) MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO NEXOXABRIDGE FOR THE PLATFORM IN THAT PERIOD OR (B) FIFTY US DOLLARS (USD $50).

You will defend, indemnify, and hold harmless NexoxaBridge from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Software in violation of these Terms, your violation of law, or your access to systems without authorization — except to the extent caused by our gross negligence or willful misconduct.

Pro and Enterprise workspaces let you invite teammates, share encrypted database connections, review editor proposals, and publish optional team pulse metrics. Free tier users may accept invites to join workspaces but cannot create workspaces or invite others.

Your responsibilities

• Only share connections with teammates you trust; rotate credentials if a device may be compromised
• Review every editor proposal before accepting — owners are responsible for DDL/DML applied to shared databases
• Disclose to your organization that team pulse may show hostname and live query metadata to members
• Ensure you have lawful authority to grant teammates access to databases you share

What NexoxaBridge cannot do

• Decrypt your shared connection blobs or proposal payloads without a member's device private key
• Undo destructive SQL or migrations you or your teammates approve
• Guarantee availability of team pulse when members are offline

You may stop using the Software at any time and delete your Platform account from your dashboard (Delete account section — password confirmation required) or by contacting [email protected].

We may suspend or terminate access for breach of these Terms, non-payment, or legal requirement. Upon termination:

• Your Platform license and right to use the Software end immediately
• Account data is handled per our Privacy Policy retention schedule
• You cannot continue using the studio without an active account — sign-in is required at every tier
• Local vault data may remain on your device until you uninstall the Software or clear it manually

Sections that by nature should survive (license restrictions, disclaimers, liability limits, indemnity, governing law) survive termination.

We may update these Terms. Material changes will be posted on this page with a revised date. Where required by law or where changes substantially affect your rights, we will provide additional notice (email or in-app). If you do not agree, discontinue use and cancel your subscription before the effective date. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws specified in your jurisdiction of residence where mandatory consumer protections apply; otherwise, the laws of the jurisdiction where NexoxaBridge is established, without regard to conflict-of-law rules.

EEA/UK consumers may bring proceedings in the courts of their country of residence. The European Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr. We are not obliged to participate in consumer arbitration but will consider good-faith resolution requests sent to [email protected].
